Course Synopsis
Corporate Governance deals with the complexities of relationships between the corporation and its board of directors, management, shareholders, and other stakeholders. The core objective of this course is to develop an understanding of Corporate Governance and how it is constructed and implemented. To identify International comparisons of Corporate Governance structures and legal issues arising in corporate control. To enhance awareness of the enforcement processes which regulate the ethical or conduct problems. To identify the facilitators and role players in ensuring good governance. To understand how investor protection effectively depends on structural factors, cultural roots and firm-specific choices especially in concern of emerging economies.
Course Learning Outcomes
On completion of this course students will be able to :
• Demonstrate and convey an understanding of corporate governance and how it is formulated and implemented.
• Demonstrate the academic and practical understanding of learned theoretical techniques in corporate governance and nexus between a
company’s management, its board and shareholders.
• To develop a thorough understanding concerning the structures and responsibilities which lie within the companies
• Demonstrate insight into the corporate governance practices leading to growing awareness and societal response
• Understand the significance of board committees, composition and their responsibilities
